WELCOME TO COSMO

 Thank you for using Cosmo. These Terms and Conditions (“Terms”) constitute a legal agreement between you (“you” or “user”) and Cosmo (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, available at https://cosmoapp.in/ (“Website”), mobile or software applications (“Cosmo” or the “Platform”), and other features, functionalities, and content offered by the Company (collectively, “Services”).

 

Please read these Terms carefully before using the Platform. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree with these Terms or any part thereof, you should refrain from accessing or using the Services.

 

1.      COSMO’S PURPOSE

 1.1. Cosmo is a digital platform intended to support healthier and more convenient eating choices by offering, among other things, personalized meal planning tools, food discovery features, nutritional information, educational content, and product recommendations. Users may explore a curated range of food and related products, indicate dietary preferences, and receive customized suggestions generated through technology-enabled systems, including artificial intelligence (“AI”).

 

1.2. The Platform employs AI technologies and machine learning models to analyze User-provided inputs, including scanned barcodes, uploaded product images/photos, visible label/packaging text extracted through OCR or similar tools, product information, uploaded product images, stated dietary preferences, stated allergies or ingredient sensitivities, and past behavior on the Platform. Based on this analysis, the Platform may generate informational product scores, comparisons, and personalized recommendations, and may adjust certain product views or displays to improve user experience. Users may search for Products by name, category, tags, or keywords. Product search results are derived from merchant-provided product feeds and/or products synced through supported integrations

 

1.3. The ‘Scan & Compare’ feature allows Users to scan a product barcode and/or upload/capture a product image. The Platform may attempt to identify the Product by reading visible text, labels, or packaging details (including via OCR and automated matching). If a match is found, the Platform may display available product information and Product Health Scores and may suggest alternatives. Outputs are indicative only.

 

1.4. In addition to AI-based recommendations, the Platform may display an integrated marketplace browsing interface through which Users may browse products supplied and managed by third-party merchants (“Merchants”).

 

1.5. The Platform may personalize product views, recommendation order, and scoring displays based on User inputs, stated preferences, and past interactions with the Platform, solely for user experience and informational purposes. Such personalization does not constitute a health, nutritional, or medical assessment

 

1.6. In addition to AI-enabled recommendations, the Platform includes an integrated online marketplace (the “Marketplace”) through which Users may browse, select, and purchase food products and related items made available either directly by the Company and/or by third-party sellers, distributors, brands, or merchants (“Third-Party Sellers”), as applicable.

 

1.7. Through the Marketplace, the Platform may facilitate certain transaction-related services, including product listing display, order placement, payment processing through authorized payment service providers, and delivery coordination through third-party logistics partners. Unless expressly stated otherwise in relation to a specific product or transaction, the Company’s role may be limited to facilitating such services on the Platform, and the availability, quality, labeling accuracy, merchantability, safety, legality, and fitness of products supplied by Third-Party Sellers shall remain the responsibility of the relevant Third-Party Seller, subject to applicable law.

 

1.8. The Services are continuously evolving. The Company reserves the right to add, remove, suspend, modify, or discontinue any feature, functionality, product category, AI capability, or part of the Services (including the Marketplace or Scan & Compare feature), temporarily or permanently, at its sole discretion, with or without notice, subject to applicable law.

 

1.9. Certain features of the Platform may require access to device functionality such as the camera, storage, screen overlay capability, microphone, or similar system permissions in order to enable scanning, product identification, voice interaction, or related features. Such permissions will only be used to provide the relevant functionality of the Platform in accordance with these Terms and the Privacy Policy.

 

2.      ACCEPTANCE OF TERMS

 

2.1. By downloading, installing, accessing, browsing, registering on, or otherwise using the Platform or Website, you represent that you have read, understood, and agree to be legally bound by these Terms and any policies incorporated herein by reference (including the Privacy Policy), as amended from time to time in accordance with these Terms.

 

2.2. We may modify, amend, or update these Terms from time to time, at our discretion, to reflect changes in the Services, applicable law, business practices, or for other operational, legal, or regulatory reasons. The updated Terms will be posted on the Platform and/or Website with the revised “Last Updated” date. To the extent required by applicable law, we may provide additional notice of material changes through the Platform, Website, email, or other reasonable means. Your continued access to or use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.

 

2.3. The Services may be unavailable, interrupted, delayed, suspended, or withdrawn from time to time due to maintenance, upgrades, technical issues, third-party service failures, network outages, security incidents, force majeure events, or other reasons. We do not guarantee uninterrupted, error-free, or continuous availability of the Services. To the maximum extent permitted by applicable law, the Company shall not be liable for any loss, damage, cost, or inconvenience arising from any unavailability, interruption, suspension, or withdrawal of the Services.

 

2.4. These Terms, together with the Privacy Policy and any additional terms, policies, guidelines, or product-specific conditions made available by us and expressly incorporated by reference, constitute the entire agreement between you and the Company with respect to your access to and use of the Services, except as otherwise expressly stated.

 

3.      DEFINITIONS

 

3.1     AI” AI means the automated technologies, algorithms, machine learning models, OCR tools, and virtual assistants used by or on behalf of the Platform to process User Inputs (including product information, stated dietary preferences, allergies/intolerances/ingredient sensitivities, and usage data) in order to generate informational scores, insights, comparisons, recommendations, personalization features, and product identification results.

 

3.2     Content” means all information, data, text, graphics, images, audio, video, software, code, messages, reviews, ratings, comments, designs, layouts, and other materials made available on or through the Platform, whether provided by the Company, Users, Sellers, or third parties.

 

3.3     “Dietary Preferences and Allergy Settings” means User-selected dietary choices, restrictions, allergies, intolerances, and ingredient sensitivities (for example, vegetarian, vegan, gluten-free, nut allergy, lactose intolerance) used by the Platform to adjust informational outputs and highlight potential conflicts.

 

3.4     In-App Purchases” means any purchase of content, features, services, subscriptions, memberships, or digital goods made by a User within the Platform.

 

3.5     Informational Content” means educational content, ingredient explanations, nutrition insights, and other general informational materials made available on the Platform to help Users understand food products and related topics.”

 

3.6     Marketplace” means the product discovery and browsing interface made available on Cosmo through which Users may view products listed by Merchants, add products to a temporary cart, and access Merchant checkout pages to complete purchases.

 

3.7     Nikki” means Cosmo’s conversational assistant (text and/or voice) that provides general informational responses regarding Products, ingredients, nutrition information, Product Health Scores, and related Platform features.

 

3.8     Nutritionist Discovery” means the directory feature through which Users may browse and discover independent nutritionists.” and “‘Nutritionist’ means an independent third-party professional listed in the Nutritionist Discovery directory and not an employee or agent of the Company (unless expressly stated otherwise).”

 

3.9     Product Tags” means internal labels, categories, attributes, or classifications assigned by the Platform to Products based on listed ingredients, nutritional values, merchant-supplied attributes, or other available data, for use in search, scoring, filtering, and recommendation features.

 

3.10 Products” means food items, consumables, nutrition-related goods, and other products that may be displayed, listed, scanned, uploaded, reviewed, compared, recommended, or sold through the Platform or Marketplace.

 

3.11 Scannify” means an optional on-screen detection feature (including browser/screen overlay tools where available) that attempts to recognize product listings displayed on third-party websites/apps and, when identified, displays Cosmo’s informational outputs (such as Product Health Scores) within the Cosmo experience.”

 

3.12 “Search” means the feature that allows Users to query Products by name, category, tags, and keywords and to view results drawn from merchant-provided product data and/or supported integrations

 

3.13 Sellers” or “Merchants” means third-party vendors, merchants, brands, or entities that supply and manage products displayed on the Marketplace and that independently process checkout, payment, and order fulfillment through their own channels.

 

3.14 Services” means all products, services, features, functionalities, tools, content, and technology made available by the Company through the Website and/or Platform, including without limitation food scanning, product comparison, nutritional information display, AI-enabled recommendations, user account functionality, and including without limitation food scanning, nutritional information display, AI-enabled recommendations, Marketplace browsing, temporary cart functionality, and redirection to third-party Merchant checkout pages. For clarity, Merchant payments and order fulfillment are not processed by Cosmo.

 

3.15 Third-Party Products/Services” means any products, services, content, tools, platforms, or functionalities provided by persons or entities other than the Company, including without limitation payment gateways/processors, logistics partners, Nutritionists, analytics providers, advertisers, merchants, and other third-party integrations that may be linked to, embedded in, or accessible through the Platform.

 

3.16 User”, “You”, or “Your” means any individual or legal entity that accesses, browses, registers on, or uses the Services. Where the User is a legal entity, the individual accepting these Terms on its behalf represents and warrants that they are duly authorized to bind such entity to these Terms.

 

3.17 User Content” means any data, information, material, or content submitted, uploaded, posted, transmitted, shared, stored, or otherwise made available by a User through or in connection with the Platform or Services, including without limitation images of food products or labels, barcodes or other product identifiers, nutritional information, ingredient lists, reviews, comments, feedback, preferences, and other user-generated content.

 

4.      DESCRIPTION OF SERVICES

 

4.1     The Platform enables Users to scan certain food and related Products, view available nutritional and label information, create a personalized nutritional profile, and explore alternative product options, including Products available for purchase through the Marketplace. The Platform may internally tag or categorize Products based on available ingredients, nutritional values, merchant-supplied attributes, and other Product data to support search, scoring, filtering, and recommendation functionality. The Services are technology-enabled and may include AI-powered features. Certain personalization-dependent features, including Dietary Preferences and Allergy Settings, allergy/conflict highlights, saved items, and other account-linked functionality, may only be available to Users who create and log into an Account. The key features of the Services include the following:

 

4.1.1.       Database: The Platform uses AI trained through a dynamic proprietary database containing information on a wide range of Products, primarily sourced from:

 

4.1.2.       User contributions: Users may submit new Product information for inclusion on the Platform where such Product is not already listed, including by uploading images of product packaging and labels and/or providing product details (including ingredient and nutritional information); and

 

4.1.3.       Publicly available or brand-provided information: We may also include information obtained from brands, manufacturers, distributors, retailers, publicly available sources, or other sources that we reasonably believe to be legitimate, including mandatory label information.

 

4.1.4.       Product Search: Users may search for Products by name, category, tags, or other keywords. Search results are generated from Product data provided to Cosmo by Merchants and/or synced through supported integrations. Cosmo does not guarantee completeness, ranking order, or that all Products offered by a Merchant will appear in Search results.”

 

4.2     The Company does not independently verify, analyze, test, certify, or inspect Products or independently validate all product-related information submitted by Users, brands, or third parties. Accordingly, to the maximum extent permitted by applicable law, the Company does not warrant that any Product information appearing on the Platform is accurate, complete, current, reliable, non-misleading, or suitable for any particular purpose.

 

4.3     Users can scan product barcodes using their device camera. If the barcode is recognized, the corresponding product page may be displayed. Some Products may not be supported or recognized due to database coverage, barcode format, packaging changes, or scanning limitations. The Company does not guarantee that barcode scanning will identify every Product or return a result

 

4.4     Product information may change over time (including ingredients, formulations, labels, certifications, and nutritional values), and database records may not always reflect the most recent version of a Product. Users should verify Product packaging, labels, ingredient lists, allergen declarations, and manufacturer instructions directly before consumption or purchase.

 

4.5     Users may input and manage Dietary Preferences and Allergy Settings within the Platform. The Platform may use these settings to adjust Product Health Scores, highlight ingredients or attributes that may conflict with the User’s selections, and tailor recommendations and views.

 

4.6     Scannify — On-Screen Product Detection

 

If enabled by the User, Scannify may analyze on-screen product listings shown on third-party websites/apps to attempt product identification. Where a Product is identified, the Platform may display Cosmo’s informational outputs (including Product Health Scores and product information). Scannify does not modify, operate, or control third-party services or their checkout flows, and identification accuracy may vary. Scannify is used solely to display Cosmo’s own information and outputs.

 

4.7     Nutritionist Discovery

 

The Platform may provide a directory of independent nutritionists that Users may browse and discover. Users may view limited profile information such as name, profile details, areas of expertise, experience, and stated availability (as provided by the nutritionist and/or third-party sources). The Company does not provide medical services, does not employ listed nutritionists (unless expressly stated otherwise), and does not control or guarantee the advice, services, qualifications, availability, or outcomes of any nutritionist.

 

4.8     Informational Content

 

The Platform may display educational content, ingredient explanations, nutrition insights, and other general information to help Users understand food products and related topics. Such content is provided for general informational purposes only and does not constitute medical, nutritional, dietetic, or professional advice.

 

4.9     Marketplace Browsing and Merchant Checkout Redirect

 

The Platform may allow Users to browse Merchant-listed products, view Merchant-provided product information, pricing, images, and availability, and add items to a temporary cart within Cosmo. Purchases are completed on the relevant Merchant’s checkout page. Cosmo does not process payment for Merchant purchases and does not fulfill Merchant orders.

 

4.10 Product Scanning and Rating

 

4.10.1     Based on information available in the Platform database and/or extracted from Product labels, and taking into account the User’s stated dietary preferences and allergies/intolerances (where provided), the Platform may generate an AI-enabled or algorithmic score, rating, comparison, or similar indicator intended to provide a simplified informational assessment of certain aspects of the Product (the ‘Product Health Score’ / ‘Product Score’). The Platform may suggest alternative Products that may better align with a User’s stated dietary preferences, allergies, ingredient sensitivities, Product Scores, or other platform criteria. Such alternatives may include Products in the same category, related categories, or general substitutes

 

4.10.2     Recommendations may be generated automatically using AI and/or algorithmic systems and may be based on factors including, without limitation:

                                                        i.             product category or similarity;

                                                      ii.            related category or substitute logic;

                                                     iii.            available nutritional and ingredient information;

                                                     iv.            Product Score or nutritional parameters;

                                                      v.             User Inputs, including stated dietary preferences, allergies/intolerances, and ingredient sensitivities;

                                                     vi.            availability on the Platform/Marketplace; and

                                                   vii.            other platform-defined criteria

 

4.10.3     The Product Health Score is indicative only, is based on available data and model assumptions, and may not capture all factors relevant to a User’s dietary needs, health status, preferences, allergies, intolerances, medical conditions, cross-contamination risks, or manufacturer/process changes.

 

4.11 Nutritional Profile

 

4.11.1     Based on Products scanned, usage patterns, and other information voluntarily provided by the User, the Platform may generate a personalized nutritional profile or summary for the User (the “Nutritional Profile”).

 

4.11.2     The Nutritional Profile is generated automatically using AI and/or algorithmic processes and is intended solely to help Users track general consumption patterns and understand broad nutritional trends. The Nutritional Profile is informational in nature only and may not take into account all relevant factors, including specific medical conditions, prescribed diets, allergies, intolerances, pregnancy, medication interactions, or other individualized dietary requirements.

 

4.11.3     Users remain solely responsible for evaluating whether any Product, recommendation, or dietary change is appropriate for them and for consulting a qualified healthcare professional, physician, or nutritionist where appropriate.

 

 

 

4.11.4     Recommendations and AI Assistance

 

Where a scanned Product receives a comparatively lower Product Score or otherwise meets the Platform’s recommendation criteria, the Platform may suggest alternative Products that may be comparatively more suitable based on the Platform’s then-current criteria and available data.  Recommendations may be generated automatically using AI and/or algorithmic systems and may be based on factors including, without limitation:

                                                   i.            product category or similarity;

                                                 ii.            availability on the Platform or Marketplace;

                                               iii.            Product Score or nutritional parameters;

                                                iv.            User Inputs and stated preferences; and

                                                 v.            other platform-defined criteria.

 

The Platform may use also AI-powered chatbots and virtual assistants, including Nikki (text and voice), to respond to User queries, provide general ingredient/nutrition information, assist with product discovery, and highlight potential dietary conflicts based on available Product data and User-stated preferences/allergies/sensitivities (where provided).

 

4.11.5     Data-Driven Personalization

 

The Platform may personalize product views, recommendation ordering, filters, highlights, and scoring displays based on User Inputs, selected preferences, and past actions on the Platform. Such personalization is intended solely to improve user experience and the relevance of informational outputs, and does not constitute any health, nutritional, diagnostic, or medical assessment

 

4.11.6     Some recommendations, listings, placements, or results may be promoted, sponsored, featured, or influenced by commercial arrangements (including paid placements). Where required by applicable law or internal policy, such content will be identified through appropriate labels (for example, “Sponsored,” “Promoted,” or equivalent identifiers). The Platform may also use AI-powered chatbots, virtual assistants, or similar tools to respond to User queries, provide general informational content, and assist with product discovery or navigation. Such tools may generate incomplete, inaccurate, outdated, or inappropriate responses and should be used with caution.

 

4.11.7     All recommendations, including same-category alternatives, related-category suggestions, and general substitutes, insights, comparisons, chatbot responses, and other outputs provided through the Platform are provided solely for general informational and assistive purposes. They do not constitute endorsements, guarantees, warranties, or representations by the Company regarding the quality, safety, legality, merchantability, availability, fitness, effectiveness, or suitability of any Product or service.

 

4.11.8     Nothing on the Platform shall be construed as professional medical, nutritional, dietetic, therapeutic, or healthcare advice. Users should consult a qualified healthcare professional before making dietary, nutrition, or lifestyle changes, particularly where they have a medical condition, allergy, intolerance, or other health concern.

 

4.11.9     In case of a medical emergency or adverse reaction, Users should immediately seek appropriate medical assistance and should not rely on the Platform or any AI-generated output.

 

4.12 Marketplace Browsing and Merchant Checkout Redirect.

The Platform may allow Users to browse Merchant-listed products, view Merchant-provided product information, pricing, images, and availability, and add items to a temporary cart within Cosmo. Purchases are completed on the relevant Merchant’s checkout page. Cosmo does not process payment for Merchant purchases and does not fulfill Merchant orders.

 

4.13    Cosmo may send optional notifications (including push notifications) about product updates, recommended alternatives, new features, reminders, or other informational prompts based on your preferences and usage. You can control or disable these notifications through your device settings and, where available, within account settings.

 

5.        ELIGIBILITY

 

5.1   Geographic Availability. The services are intended for use only in select locations within India, and certain features (including marketplace purchases and deliveries) may be available only in serviceable areas determined by the company from time to time. The company may add, remove, or modify serviceable locations at its discretion without prior notice.

 

5.2   Eligibility to Use. By accessing or using the Services, you represent and warrant that you are legally competent to enter into a binding contract under applicable law and that you are using the Services in compliance with these Terms and applicable law.

 

5.3   Minors. If you are under 18 years of age (a “Minor”), you may access or use the Services only under the supervision of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf and who assumes responsibility for your use of the Services.

 

5.4   Restrictions on Minor Use. A Minor must not independently create an account, make purchases, place orders, submit payment details, or use any feature requiring legal capacity to contract, except through or under the direct supervision and consent of a parent or legal guardian. The parent or legal guardian shall be responsible for all acts, omissions, purchases, and use of the Services by the Minor.

 

5.5   Right to Restrict Access. We reserve the right to restrict, suspend, or terminate access to the Services if we reasonably believe that a User does not satisfy the eligibility requirements under this Clause 5.

 

6.      USER REGISTRATION

 

6.1. Account Creation and Access:

 

6.1.1.       Certain features of the Platform may require an Account, while other features may be available in Guest Mode without registration. Features requiring personalization, storage, or account-linked functionality may only be available to logged-in Users.

 

6.1.2.       Certain features of the Platform may be accessible without creating or logging into an Account (“Guest Mode”). Availability of Guest Mode features may vary and may be modified by the Company from time to time

 

6.1.3.       If you choose to register or sign in through a third-party authentication provider, your use of such login method may also be subject to that provider’s terms and privacy practices. The Company is not responsible for the acts, omissions, security, availability, or policies of any such third-party provider.

 

6.1.4.       Account creation may enable you to access personalized features, save preferences, make transactions, and use other functionality available through the Platform.

 

6.1.5.       We reserve the right, in our sole discretion and subject to applicable law, to refuse registration of an Account, require additional verification, or disable any username, login method, or Account identifier.

 

6.2. User Obligations

 

By registering an account, you agree to the following conditions:

 

6.2.1.       You will access and use the Platform solely for lawful purposes and in accordance with these Terms, applicable law, and the intended functionality of the Platform.

 

6.2.2.       You will provide accurate, current, and complete information during registration and at all other times when using the Platform, and you will promptly update such information to keep it accurate, current, and complete. During onboarding and thereafter, you may provide optional preferences, allergies, and other information used for personalization; you agree such information is accurate to the best of your knowledge and you will update it if it changes

 

6.2.3.       You will not impersonate any person or entity, create an Account using false or misleading information, or otherwise misrepresent your identity, age, eligibility, or authority to use the Services.

 

6.2.4.       We may use your contact information to support your use of the Platform, including account support, notifications, and (where applicable) facilitating redirection to Merchant checkout pages. For purchases completed on Merchant checkout pages, payment processing, order fulfillment, and delivery are handled by the relevant Merchant and/or its service providers.

 

6.2.5.       Subject to applicable law and your preferences, we may send optional notifications and alerts (including push notifications) about product updates, recommended alternatives, feature updates, and reminders based on your preferences. You can control notifications through device settings and/or account settings. Service-critical communications may still be sent where necessary (e.g., security alerts, legal notices).

 

6.2.6.       Subject to applicable law and your communication preferences, we (and where applicable, our affiliates or authorized partners acting on our behalf) may send you information regarding new features, offers, promotions, campaigns, surveys, or other marketing communications through email, SMS, phone call, messaging channels, or push notifications. You may opt out of non-essential promotional communications at any time through your account settings (where available), applicable unsubscribe/opt-out mechanisms, or by contacting us at info@cosmoapp.in. Opting out of promotional communications will not affect service-related communications.

 

6.2.7.       You acknowledge and agree that we may use the contact, billing, and delivery information provided by you (including name, email address, phone number, and delivery address) to process payments, fulfil orders, arrange deliveries, provide customer support, and otherwise perform Services requested by you, in accordance with these Terms and the Privacy Policy.

 

6.2.8.       You agree to cooperate with any reasonable verification requests or fraud-prevention measures that we may implement in connection with account registration, access, or transactions.

 

6.3. Suspension or Termination of Account

 

6.3.1.       We may, at our discretion and subject to applicable law, temporarily suspend, restrict, or permanently terminate your Account and/or access to all or part of the Services, with or without prior notice, if:

                                                   i.            any information provided by you is inaccurate, incomplete, outdated, false, or misleading;

                                                 ii.            you breach these Terms, including the content standards under Clause 7.3 or restrictions on use under Clause 10;

                                               iii.            we reasonably suspect fraud, unauthorized activity, misuse of the Platform, security risks, or unlawful conduct;

                                                iv.            your use of the Platform may expose the Company, other Users, Sellers, or third parties to harm, liability, or regulatory risk;

                                                 v.            we are required to do so by law, court order, or direction of a governmental or regulatory authority; or

                                                vi.            your Account remains inactive for a prolonged period, subject to any applicable notice requirements.

 

6.3.2.       Where reasonably practicable, we may provide notice of suspension or termination and/or an opportunity to cure the relevant breach. Nothing in this Clause limits our right to take immediate action where necessary for security, fraud prevention, legal compliance, or risk mitigation.

 

6.3.3.       Suspension or termination of your Account shall not affect any rights, remedies, obligations, or liabilities accrued prior to the date of suspension or termination, including in relation to completed or pending transactions, payment obligations, indemnities, or dispute resolution obligations.

 

6.4. Closure of Account by User:

 

6.4.1.       You may request closure or deletion of your Account at any time by: (a) using the account deletion functionality available within the Platform (if enabled); or (b) sending a request to info@cosmoapp.in from your registered email address or through other verification steps required by us.

 

6.4.2.       We may require reasonable verification of your identity before processing an account closure or deletion request to protect account security and prevent unauthorized requests.

 

6.4.3.       Closure or deletion of your Account may not automatically cancel orders already placed, settle outstanding payment obligations, complete refunds, or remove data that we are required or permitted to retain under applicable law, for legitimate business purposes, fraud prevention, dispute resolution, tax/accounting compliance, or enforcement of these Terms.

 

6.4.4.       Subject to applicable law, the Privacy Policy, and our data retention practices, we may delete, de-identify, anonymize, or retain User Content and associated account data following account closure. Residual copies may remain in backups or archives for a limited period and may not be immediately removed.

 

7.      CONTENT AND USER RESPONSIBILITY

 

              7.1            User-Generated Content: You acknowledge and agree that

 

7.1.1.       All User Content that you create, upload, submit, post, transmit, share, or otherwise make available through or in connection with the Platform or Services is solely your responsibility. As between you and the Company, ownership of your User Content remains with you, subject to the rights and licenses granted by you under these Terms.

 

7.1.2.       You represent and warrant that: (a) you own or otherwise control all rights, consents, permissions, and licenses necessary to submit and use such User Content in connection with the Services; (b) your User Content and our exercise of the rights granted under these Terms will not infringe, misappropriate, or violate any rights of any person or entity (including intellectual property, privacy, confidentiality, publicity/personality, or contractual rights); and (c) your submission and use of User Content complies with these Terms and applicable law.

 

7.1.3.       You are solely responsible and liable for your User Content and for all consequences arising from or relating to your User Content, including any claim, proceeding, loss, liability, damage, cost, or expense (including reasonable legal fees) incurred by the Company, other Users, Sellers, or third parties in connection therewith, subject to applicable law.

 

7.1.4.       The Company does not generally pre-screen or verify all User Content and does not guarantee the accuracy, completeness, legality, reliability, or usefulness of any User Content. Any use of or reliance on User Content is at your own risk.

 

7.1.5.        By submitting or making available any User Content through the Platform, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, cache, reproduce, modify (including formatting, resizing, translating, excerpting, and adapting for technical or display purposes), process, analyze, communicate, publish, display, perform, distribute, and otherwise use such User Content to the extent necessary to: (a) operate, maintain, secure, debug, and improve the Platform and Services; (b) provide the features described in Clause 4 (including product scanning, matching, comparisons, recommendations, and database functionality); (c) comply with applicable law and lawful requests of authorities; and (d) enforce these Terms.

 

7.1.6.       To the extent permitted by applicable law, you waive (or agree not to assert against the Company and its sublicensees) any moral rights or similar rights in your User Content that may prevent the Company from exercising the rights granted under Clause 7.1.5 for the purposes set out therein.

 

7.1.7.       The license granted under Clause 7.1.5 continues for so long as your User Content is retained by us for the purposes set out in these Terms, subject to applicable law, the Privacy Policy, our data retention practices, backups/archives, and technical limitations.

 

7.1.8.       We may, but are not obligated to, pre-screen, review, moderate, flag, filter, refuse, restrict, disable access to, or remove any User Content, in whole or in part, at any time, in accordance with these Terms and applicable law, including where we reasonably believe such action is necessary to enforce these Terms, protect users or third parties, preserve service integrity, or comply with legal or regulatory requirements.

 

              7.2            Content Standards: You agree that User Content, and your use of the Platform and Services, shall not:

 

7.2.1.        infringe, misappropriate, or otherwise violate any intellectual property rights, privacy rights, confidentiality rights, publicity/personality rights, or any other rights of any third party;

 

7.2.2.       be unlawful, defamatory, obscene, pornographic, sexually explicit (where prohibited), hateful, abusive, harassing, threatening, discriminatory, violent, invasive of privacy, or otherwise objectionable, including content that promotes self-harm or harm to others;

 

7.2.3.       violate any applicable law in India, including without limitation the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended), the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020 (as amended), the Food Safety and Standards Act, 2006, and applicable regulations, directions, and guidelines issued thereunder (including by FSSAI), or any other applicable law;

 

7.2.4.       include, disclose, or otherwise process personal data or sensitive personal data of any other individual (including health-related or dietary information) without a valid legal basis, including all required notices, consents, and authorizations;

 

7.2.5.       harm, exploit, endanger, or impersonate minors, including by depicting, soliciting, or distributing sexual or violent content involving minors, or by collecting personal data from minors in violation of applicable law;

 

7.2.6.       impersonate any person or entity, falsely state or misrepresent your identity, age, affiliation, authority, or the origin/source of any content or communication;

 

7.2.7.       encourage, promote, facilitate, or incite illegal activity, criminal conduct, violence, terrorism, or any activity prohibited under applicable law;

 

7.2.8.       promote, facilitate, or assist fraud, deception, gambling (where unlawful), money laundering, financing of unlawful activities, or any other unlawful conduct;

 

7.2.9.       contain, transmit, distribute, or link to viruses, worms, malware, spyware, trojans, bots, ransomware, unauthorized scripts, or other malicious code or components intended to interfere with, damage, disrupt, scrape, surveil, or gain unauthorized access to the Platform, Services, systems, data, or users;

 

7.2.10.   be false, inaccurate, misleading, or deceptive, including by fabricating product information, falsifying nutritional values, tampering with labels, manipulating barcodes, posting fake reviews, or misrepresenting product attributes or certifications, and submitting false ingredient/allergen information or misleading product composition details likely to affect other Users’ scores, conflict highlights, or recommendations;

 

7.2.11.   constitute undisclosed sponsored content, paid reviews, endorsements, testimonials, or promotional communications where you have received compensation, incentives, free products, discounts, or any other consideration from a third party, without clear and conspicuous disclosure as required by applicable law;

 

7.2.12.   circumvent, disable, interfere with, or attempt to circumvent, disable, or interfere with any security, authentication, moderation, anti-fraud, or access-control features of the Platform or Services, or probe, scan, or test the vulnerability of any system or network without authorization;

 

7.2.13.   use automated means (including bots, scripts, crawlers, scrapers, or similar technologies) to access, extract data from, overload, or interact with the Platform in a manner not expressly authorized by the Company;

 

7.2.14.   upload or submit content that you know or reasonably should know is inaccurate in a manner likely to cause harm, confusion, or unsafe consumption decisions by other Users.

 

              7.3            Breach of Content Standards

 

7.3.1.       If we reasonably determine, or in good faith suspect, that you have breached Clause 7, any other provision of these Terms, or applicable law, we may take any action we consider reasonably necessary and proportionate in the circumstances, subject to applicable law, including without limitation:

                                                                 i.             issuing warnings, notices, or requests for clarification or remediation;

                                                               ii.            removing, disabling, restricting visibility of, or refusing to publish any User Content;

                                                              iii.            requiring you to edit, re-submit, verify, or substantiate content;

                                                              iv.            temporarily suspending or permanently terminating your Account and/or access to all or part of the Platform or Services;

                                                               v.             restricting specific functionalities (including posting, scanning, purchasing, messaging, or review features);

                                                              vi.            cancelling, holding, or reviewing transactions where fraud, abuse, or legal non-compliance is suspected (subject to applicable law and payment/refund terms);

                                                            vii.            preserving logs, records, and relevant User Content for investigation, legal compliance, or enforcement purposes;

                                                          viii.             reporting, referring, or disclosing information to competent authorities, regulators, courts, payment intermediaries, network providers, Sellers, or affected third parties where we reasonably believe such disclosure is necessary to comply with law, legal process, or to protect rights, safety, security, or the integrity of the Services; and/or

                                                              ix.            pursuing legal remedies, including injunctive relief and recovery of losses, costs, and expenses to the fullest extent permitted by law.

 

7.3.2.       Actions under this Clause may be implemented with immediate effect where we reasonably believe immediate action is required for security, fraud prevention, legal compliance, risk mitigation, or protection of Users, the Company, or third parties.

 

7.3.3.       Where reasonably practicable and not prohibited by law or required for urgent risk mitigation, we may provide notice of the action taken and, where appropriate, an opportunity to respond, cure, or appeal in accordance with Clause 8.

 

7.3.4.       Upon suspension or termination of your Account, your right to access and use the affected Services will cease to the extent specified in our notice (or immediately, where no notice is required). You may lose access to associated User Content and account data, subject to applicable law, our retention practices, and any rights of appeal or data access available under law.

 

7.3.5.       The Company’s rights and remedies under these Terms are cumulative and are in addition to any other rights or remedies available in law or equity. Failure to exercise or delay in exercising any right shall not operate as a waiver.

 

7.3.6.       If your Account is suspended or terminated for breach, we may retain, preserve, or disclose certain information as required or permitted by law and our data retention policies, including for fraud prevention, dispute resolution, legal compliance, and enforcement of these Terms.

 

7.3.7.       Actions taken under this Clause are at our sole discretion and may be implemented with immediate effect. Upon suspension or termination, you will lose access to your account, User Content, and any associated data stored in the account. Any permissions granted to you to use the Platform or Services will automatically terminate. Our rights and remedies are cumulative and without prejudice to any other rights or remedies available in law or equity.

 

7.3.8.       If your account is terminated for breach, you acknowledge that we may retain certain information as required or permitted by law and our data retention policies, including for fraud prevention, dispute resolution, and compliance with legal obligations.

 

8.      CONTENT MODERATION, REPORTING, AND APPEALS

 

8.1   Moderation Practice

 

8.1.1         We may use automated tools, manual review, user reports, and other moderation mechanisms to identify, flag, review, restrict, or remove content or conduct that may violate these Terms or applicable law.

 

8.1.2         We are not obligated to monitor all User Content or user activity, and we do not guarantee that all content or conduct that violates these Terms will be detected, flagged, reviewed, or removed.

 

8.1.3         Moderation decisions may be based on automated signals, human review, contextual factors, legal requirements, platform policies, safety considerations, and available evidence. Automated tools may produce false positives or false negatives.

 

8.2   Reporting Violations

 

8.2.1         You may report content, behavior, listings, reviews, or conduct that you believe violates these Terms or applicable law through the in-app reporting functionality (where available) or by contacting us at info@cosmoapp.in.

 

8.2.2         We may request additional information or documentation from you to assess a report. Submission of a report does not guarantee any specific action, response time, or outcome.

 

8.2.3         You agree not to misuse reporting channels, including by making knowingly false, frivolous, abusive, or bad-faith reports.

 

8.3   Appeals and Clarifications

 

8.3.1         If we remove your User Content, restrict your access, or take enforcement action against your Account under these Terms, you may, where such channel is made available by us, request clarification and/or submit an appeal through the process specified by us.

 

8.3.2         We will review appeals in good faith using the information available to us, but we are not obligated to reverse any moderation or enforcement decision unless required by applicable law or internal policy.

 

8.3.3         We may reject or close appeals that are incomplete, repetitive, abusive, untimely (where time limits are specified), or otherwise not submitted in accordance with the applicable appeal process.

 

8.4   Storage, Retention, and Access to User Content

 

8.4.1         We do not guarantee that User Content will be stored, preserved, or made continuously available. You are solely responsible for retaining copies of your User Content.

 

8.4.2         We may establish, modify, or enforce storage limits, file size limits, submission limits, and retention periods for User Content and related data from time to time, in our discretion, subject to applicable law.

 

8.4.3         We may delete, de-identify, archive, or restrict access to User Content in accordance with these Terms, the Privacy Policy, legal requirements, operational needs, and technical limitations.

 

8.5   General

 

8.5.1         We reserve all rights not expressly granted under these Terms.

 

8.5.2         Any waiver of any provision of these Terms, or of any breach thereof, shall be effective only if made in writing by an authorized representative of the Company and shall not be deemed a waiver of any other provision or any prior, concurrent, or subsequent breach.

 

9.      CONSUMER INFORMATION AND MARKETPLACE INTEGRITY

 

9.1   Marketplace Access and Platform Role

 

9.1.1.       You may access and use the Marketplace to browse products supplied and managed by Merchants. Product information, pricing, images, and availability displayed on the Marketplace are provided by the Merchant. Users may add items to a temporary cart within Cosmo and complete purchases through the Merchant’s checkout page.

 

9.1.2.       Cosmo does not process payments, does not accept or settle payment on behalf of Merchants, and does not fulfill or deliver Merchant orders. Any purchase transaction is between you and the relevant Merchant, subject to the Merchant’s applicable terms and policies

 

9.2   Product Information and Consumer Responsibility

 

9.2.1         Where the Platform displays product data, nutritional information, ingredient lists, allergen statements, suitability tags, pricing, images, or availability for Marketplace products, such information is provided by the relevant Merchant and/or sourced from public sources, user submissions, or automated extraction processes.

 

9.2.2         Product availability, prices, pack sizes, ingredients, formulations, allergen declarations, certifications, and labeling may vary by batch, location, time, and seller, and may change without notice.

 

9.2.3         The Company does not guarantee that product information displayed on the Platform is complete, current, accurate, or free from errors. Before purchasing or consuming any Product, you should verify the information on the Product packaging and, where relevant, with the manufacturer or Seller, especially in relation to ingredients, allergens, usage instructions, and suitability for your dietary or medical needs.

 

9.2.4         AI-generated comparisons, Product Health Scores, ingredient conflict highlights, personalized views, and alternative suggestions are indicative and assistive only, may rely on available nutrition/ingredient data and User-stated preferences/allergies/sensitivities, and do not replace independent judgment or professional advice.

 

9.2.5         Search results and product listings may be generated from merchant-provided feeds and synced integrations, and may not reflect real-time availability or the Merchant’s latest catalog.

 

9.3   Pricing and Product Variability

 

9.3.1         Prices, discounts, and availability displayed on Cosmo for Merchant-listed products are provided by the Merchant and may change at any time.

 

9.3.2         The final price, taxes, shipping charges, and applicable fees are determined at the Merchant’s checkout page at the time of purchase. Cosmo does not control Merchant pricing or checkout charges.

 

9.4   Order Placement, Cancellation, and Modification

 

Items added to the temporary cart within Cosmo do not constitute an order with Cosmo. Orders are placed only when you complete checkout on the Merchant’s checkout page. Cancellation, modification, acceptance, rejection, and fulfillment of such orders are governed by the relevant Merchant’s terms and policies. Cosmo may remove items from a temporary cart or disable redirects for operational, compliance, or technical reasons.

 

9.5   Returns, Exchanges, and Refunds

 

9.5.1         Returns, exchanges, replacements, refunds, and related claims for Merchant-listed products are governed by the relevant Merchant’s return/refund policies and applicable law.

 

9.5.2         Cosmo does not process refunds or returns for Merchant purchases unless expressly stated otherwise for a specific feature or promotion.

 

9.6   Marketplace Conduct and User Obligations

 

9.6.1         Reviews, ratings, comments, endorsements, and recommendations submitted by Users must be honest, lawful, and based on genuine experience with the relevant Product or transaction.

 

9.6.2         You must not post fake reviews, manipulated ratings, misleading testimonials, or coordinated review activity, or otherwise attempt to distort rankings, ratings, or marketplace trust signals.

9.6.3         If you post any review, endorsement, or promotional content in relation to a Product or Seller and you have received compensation, benefits, discounts, free products, incentives, or have any material connection or affiliation, you must make a clear and conspicuous disclosure in accordance with applicable law.

 

9.7   No Endorsement; Ranking and Recommendation Transparency

 

9.7.1         Cosmo’s role is limited to displaying Merchant listings, enabling temporary cart functionality, and redirecting Users to Merchant checkout pages; Cosmo does not process payments or fulfill Merchant orders.

 

9.7.2         Product descriptions, claims, ingredients, pricing, availability, quality, quantity, authenticity, and regulatory compliance representations for Products sold by third-party Sellers are the responsibility of the relevant Seller and/or manufacturer, subject to applicable law.

 

9.7.3         Marketplace suggestions, rankings, search results, badges, and recommendations (including AI-generated outputs) may be influenced by factors such as relevance, product category, user preferences, availability, delivery feasibility, pricing, historical performance, user behavior, ratings, sponsored placements, and commercial arrangements. The order or placement of any Product does not by itself imply endorsement, warranty, or guarantee by the Company.

 

10.   RESTRICTIONS ON USE OF SERVICE

 

The following restrictions apply to your access to and use of the Services, the Platform, any application programming interfaces (APIs) made available by the Company, and any content, data, or materials made available through the Services. Any breach of this Clause may result in suspension or termination of your Account, restriction of access, and/or any other remedies available under these Terms or applicable law. Except as expressly permitted by these Terms or by prior written authorization from the Company, you shall not, directly or indirectly, and whether by yourself or through any third party:

 

10.1                     Reverse Engineering and Unauthorized Access to Technology

 

10.1.1     reverse engineer, decompile, disassemble, decode, adapt, or otherwise attempt to derive or gain access to the source code, object code, underlying ideas, structure, algorithms, models, file formats, or non-public APIs of the Services, except to the extent such restriction is prohibited by applicable law and then only after providing prior written notice to the Company (where legally permitted);

 

10.1.2     access or use the Services in order to build, train, benchmark, or improve a competing product or service, or to copy features, functionality, user interface elements, ranking logic, or business methods, except as permitted by law;

 

10.2                     Copying and Derivative Use

 

10.2.1     copy, reproduce, republish, upload, post, transmit, distribute, publicly display, publicly perform, download, store, or otherwise make available any portion of the Services, except as expressly permitted by these Terms or as reasonably necessary for your personal, lawful use of the Services;

 

10.2.2     modify, translate, adapt, port, localize, re-package, re-host, or create derivative works of the Services or any part thereof, including user interfaces, visual designs, databases, listings, product catalogs, ratings, review compilations, images, audio, video, or other content, except as expressly enabled through the Services or authorized in writing by the Company;

 

10.3                     Proprietary Notices, Branding, and Misrepresentation

 

10.3.1     remove, alter, obscure, or modify any copyright, trademark, logo, branding, attribution, legal notice, digital watermark, metadata, tracking mechanism, or other proprietary rights notice embedded in or affixed to the Services or content obtained through the Services;

 

10.3.2     misrepresent the origin or source of the Services or any content obtained through the Services, or falsely imply sponsorship, endorsement, affiliation, or association with the Company, any Seller, or any third party;

 

10.3.3     use the Company’s names, trademarks, logos, trade dress, domain names, subdomains, URLs, or other brand identifiers without prior written authorization, except for nominative use strictly permitted by applicable law;

 

10.3.4     frame, mirror, deep-link to, or otherwise present the Services in a manner that is misleading, deceptive, or likely to confuse users as to source, sponsorship, endorsement, or affiliation;

 

10.4                     Security, Integrity, and System Misuse

 

10.4.1     take any action that overloads, interferes with, disrupts, damages, impairs, or attempts to impair the functioning, performance, or integrity of the Services, servers, networks, systems, or databases, including through excessive requests, denial-of-service activity, malicious traffic, or transmission of harmful code;

 

10.4.2     access, attempt to access, probe, scan, test, or monitor any accounts, systems, data, content, or areas of the Services that you are not authorized to access, or bypass, defeat, disable, or circumvent any access controls, authentication mechanisms, encryption, rate limits, security features, moderation controls, or technical protections;

 

10.4.3     use, deploy, or develop bots, spiders, crawlers, scrapers, offline readers, browser automation tools, data extraction tools, or other automated means, processes, or scripts to access, query, collect, harvest, index, monitor, or otherwise interact with the Services, except pursuant to a separate written agreement with the Company expressly permitting such activity;

 

10.4.4     introduce, upload, transmit, or distribute viruses, worms, malware, spyware, trojans, ransomware, malicious scripts, or any other harmful code or component through or in connection with the Services;

 

10.5                     Privacy, Fraud, and Abuse

 

10.5.1     collect, scrape, harvest, or otherwise process personal data or personally identifiable information of any User, Seller, or other person through the Services without a valid legal basis and in violation of applicable law and these Terms;

 

10.5.2     engage in fraudulent, deceptive, harmful, or abusive practices, including fake orders, payment fraud, chargeback abuse, coupon or promotion abuse, return abuse, identity fraud, review manipulation, or misuse of support channels;

 

10.5.3     use the Services in any manner that violates applicable law, infringes third-party rights, or is inconsistent with the intended functionality of the Platform.

 

10.6                     Reservation of Rights

 

10.6.1     All rights not expressly granted under these Terms are reserved by the Company.

 

10.6.2     Any use of the Services not expressly permitted by these Terms constitutes a breach of these Terms and may also violate applicable law.

 

11.   BILLING AND PAYMENT

 

11.1                     Accepted Payment Methods

 

For Merchant-listed products, purchases are completed on the Merchant’s checkout page using payment methods accepted by the Merchant or its payment service providers. Cosmo does not process or accept payment for such Merchant purchases

 

11.2                     Payment Processing and Third-Party Providers

 

Cosmo does not process payment transactions for Merchant purchases. Payment processing for Merchant purchases is handled by the relevant Merchant and/or its third-party payment service providers in accordance with their terms and privacy policies.

 

 

11.3                     In-App Purchases and Additional Charges

 

11.3.1      Certain features, subscriptions, memberships, content, or Services available through the Platform may require additional payment, including In-App Purchases.

 

11.3.2     In-App Purchases and other paid features will be charged to your selected payment method (or through the applicable app store/account, where relevant) at the time of purchase or as otherwise disclosed before checkout/confirmation.

 

11.3.3     You are responsible for all applicable taxes, duties, levies, bank charges, payment gateway charges (if separately disclosed), currency conversion charges, and other fees associated with your transactions.

 

11.3.4     If any paid feature is subscription-based, the applicable billing cycle, renewal terms, cancellation process, and refund eligibility (if any) shall be as disclosed at the time of subscription or in the relevant product-specific terms.

 

11.4                     Billing Information and User Responsibilities

Where you purchase paid Cosmo features (if any), you must provide accurate billing information. For Merchant purchases, billing/payment information is collected and processed by the Merchant and/or its payment providers, not by Cosmo (except for limited transaction metadata, if applicable, as described in the Privacy Policy).

 

12.   INTELLECTUAL PROPERTY RIGHTS

 

12.1                     Ownership

 

12.1.1     The Platform, Marketplace, and all materials, features, functionality, software, technology, databases, compilations, interfaces, designs, layouts, text, graphics, images, audio, video, logos, trademarks, service marks, trade names, domain names, and other content made available by or on behalf of the Company through the Services (excluding User Content and third-party content, to the extent owned by third parties) (collectively, “Company IP”) are owned by or licensed to the Company and are protected under applicable intellectual property and other laws.

 

12.1.2     Nothing in these Terms transfers to you any ownership right, title, or interest in or to the Company IP or any part of the Services, except for the limited license expressly granted under Clause 12.2.

 

12.2                     Limited License to Use the Services

 

12.2.1     Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Services solely for your personal, lawful, and non-commercial use.

 

12.2.2     This license is granted only for the purpose of enabling you to use the Services as expressly permitted by these Terms. Except as expressly permitted by these Terms or applicable law, you shall not reproduce, distribute, modify, adapt, create derivative works of, publicly display, publicly perform, republish, download, transmit, sell, license, exploit, or otherwise use any Company IP.

 

12.2.3     The Company may suspend or revoke the license granted under this Clause at any time if you breach these Terms or if required for legal, security, or operational reasons.

 

12.3                     Trademarks and Brand Use

 

12.3.1     “Cosmo” and all related names, logos, product and service names, slogans, and trade dress are trademarks and/or proprietary identifiers of the Company or its licensors.

 

12.3.2     You may not use any Company trademarks, logos, or branding without the Company’s prior written consent, except for nominative use strictly permitted by applicable law.

 

12.4                     Feedback

 

12.4.1     If you submit suggestions, ideas, feedback, improvements, or other recommendations regarding the Platform or Services (“Feedback”), you agree that the Company may use, disclose, reproduce, modify, and exploit such Feedback without restriction or obligation to you, provided that the Company will not publicly identify you as the source of such Feedback without your consent unless required by law.
